End User License Agreement (EULA)

1. Agreement to Terms

This End User License Agreement ("EULA", "Agreement") is between you ("User", "You", "Your") and Christian Luppi ("Licensor", "We", "Us", "Our") regarding your use of CryptoDashboardPlus software, web application, and associated services (collectively, the "Software").

By installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, do not use the Software.

2. License Grant

2.1 Limited License

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the web application at CryptoDashboardPlus.com for personal or internal business purposes
• Create and manage cryptocurrency portfolios using manual entry, CSV import, or API sync
• Connect read-only API keys from supported exchanges (Binance, Coinbase, Pionex)
• Track wallet addresses on supported blockchains (Ethereum, BSC, Polygon, Arbitrum, Optimism, Avalanche)
• Export your portfolio data in CSV format and tax reports in Form 8949 format
• Store portfolio data in your browser's localStorage for offline access
• Use premium features if you have an active subscription

2.2 License Restrictions

You may NOT:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any copyright, trademark, or proprietary notices
• Rent, lease, sell, sublicense, or transfer the Software to third parties
• Use the Software for any illegal or unauthorized purpose
• Circumvent any technical limitations or security measures
• Use automated systems (bots, scrapers) to access the Software
• Interfere with or disrupt the Software or servers
• Attempt to gain unauthorized access to any systems or networks

3. Ownership and Intellectual Property

3.1 Software Ownership

The Software, including all code, design, graphics, documentation, and other materials, is owned by Christian Luppi and is protected by:

• Copyright laws
• Trademark laws
• Trade secret laws
• Other intellectual property rights and laws

3.2 Your Data

You retain all ownership rights to your data, including:

• Portfolio information
• Transaction history
• Personal preferences and settings
• Custom notes and tags

3.3 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Software, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

4. User Accounts and Security

4.1 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong passwords and security measures

4.2 API Keys and Exchange Connections

When connecting cryptocurrency exchanges:

• Authorization: You must only use API keys you are legally authorized to use (your own accounts)
• READ-ONLY ONLY: You MUST only grant read-only permissions. NEVER enable:
  • Withdrawal permissions
  • Trading permissions
  • Transfer permissions
  • Any permissions beyond viewing balances and transaction history
• Correct permissions:
  • Binance: ONLY check "Enable Reading"
  • Coinbase: ONLY grant "wallet:accounts:read", "wallet:transactions:read"
  • Pionex: Use view-only API key type
• Revocation: You can revoke API access at any time from your exchange account settings
• Your responsibility: Compromised API keys, API keys with excessive permissions, or unauthorized use are entirely your responsibility

5. Subscription and Payment Terms

5.1 Free and Premium Tiers

The Software is available in free and premium subscription tiers:

Free Tier Includes:

• Manual trade entry (unlimited)
• Basic portfolio tracking
• Real-time prices from CoinGecko
• Basic charts and analytics
• 1 exchange API connection
• 1 wallet address

Premium Tier Includes (Subscription Required):

• Unlimited exchange API connections (Binance, Coinbase, Pionex)
• Unlimited wallet tracking (all supported blockchains)
• Advanced charts and performance analytics
• Tax report exports (IRS Form 8949)
• Extended historical data retention
• CSV export of all data
• Price alerts and Telegram notifications
• Goal tracking with progress monitoring
• Priority email support
• Advanced filtering and search

5.2 Subscription Terms

• Subscriptions renew automatically unless cancelled
• You can cancel at any time to prevent future charges
• Cancellation does not entitle you to a prorated refund
• We may change pricing with 30 days' notice
• Promotional pricing may be subject to specific terms

5.3 Payment Processing

• Payment processor: Payments are processed by Stripe, Inc. (we do NOT store credit card details)
• Secure handling: Payment information is transmitted directly to Stripe using TLS encryption
• Subscription authorization: By subscribing, you authorize us to charge your payment method:
  • Initial subscription fee immediately
  • Recurring fees on each billing cycle (monthly or annual)
  • Any applicable taxes or fees
• Failed payments: If payment fails:
  • We will retry charging 3 times over 7 days
  • You will receive email notifications
  • Premium features will be suspended after failed retries
  • Account will downgrade to free tier if payment cannot be collected
• No refunds: All fees are non-refundable except where required by law
• Cancellation: Cancel anytime via Settings > Subscription or Stripe billing portal

6. Software Updates and Changes

6.1 Updates

We may update the Software from time to time to:

• Add new features
• Fix bugs and security vulnerabilities
• Improve performance
• Update third-party integrations

6.2 No Obligation

We have no obligation to provide updates, but we reserve the right to:

• Modify or discontinue features
• Require updates for continued service access
• Change the Software interface or functionality

7. Disclaimers and Warranties

7.1 No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF DATA
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OR FREEDOM FROM VIRUSES

7.2 No Financial Advice

THE SOFTWARE IS A TRACKING TOOL ONLY. WE DO NOT PROVIDE:

• Investment advice or recommendations
• Financial planning or advisory services
• Tax advice or preparation services
• Legal advice
• Any form of professional advice

7.3 Data Accuracy

WE DO NOT GUARANTEE:

• Accuracy of cryptocurrency prices
• Correctness of portfolio calculations
• Availability of third-party API services
• Completeness of transaction synchronization

You should independently verify all data before making financial decisions.

8. Limitation of Liability

8.1 No Liability for Investment Losses

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INVESTMENT LOSSES, FINANCIAL DAMAGES, OR OTHER LOSSES ARISING FROM:

• Your use or inability to use the Software
• Investment decisions based on Software data
• Errors, bugs, or inaccuracies in the Software
• Unauthorized access to your account or data
• Third-party service failures or API downtime
• Lost profits, revenue, or business opportunities

8.2 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF:

• The amount you paid us in the 12 months preceding the claim, OR
• $100 USD

8.3 Types of Damages Excluded

WE SHALL NOT BE LIABLE FOR:

• Indirect damages
• Incidental damages
• Consequential damages
• Punitive damages
• Special damages
• Lost data or lost profits

9. Indemnification

You agree to indemnify, defend, and hold harmless CryptoDashboardPlus, Christian Luppi, and our affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from:

• Your use or misuse of the Software
• Your violation of this EULA
• Your violation of any laws or regulations
• Your violation of third-party rights
• Your investment decisions
• Unauthorized use of your account

10. Privacy and Data Protection

Your use of the Software is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

By using the Software, you consent to:

• Collection and processing of your data as described in the Privacy Policy
• Storage of your data on our servers
• Transfer of data to service providers
• Use of cookies and similar technologies

11. Third-Party Services and Content

11.1 Third-Party Integrations

The Software integrates with third-party services including:

• CoinGecko API (price data)
• Binance API
• Coinbase API
• Pionex API
• Payment processors

11.2 No Control Over Third Parties

We do not control third-party services and are not responsible for:

• Their availability or performance
• Changes to their APIs or terms
• Accuracy of their data
• Their privacy practices
• Any fees they may charge

11.3 Third-Party Terms

Your use of third-party services is subject to their own terms and conditions. You agree to comply with all applicable third-party terms.

12. Export and Trade Compliance

You agree to comply with all applicable export control and trade sanctions laws, including:

• U.S. Export Administration Regulations
• International Traffic in Arms Regulations
• EU export control regulations
• Economic sanctions programs

You represent that you are not located in, or a national of, any country subject to comprehensive sanctions.

13. Termination

13.1 Termination by You

You may terminate this EULA at any time by:

• Deleting your account
• Ceasing all use of the Software
• Uninstalling any installed software components

13.2 Termination by Us

We may terminate or suspend your access immediately if:

• You violate this EULA
• You engage in fraudulent or illegal activity
• Your account poses a security risk
• We are required to do so by law
• We discontinue the Software

13.3 Effect of Termination

Upon termination:

• Your license to use the Software immediately ends
• You must cease all use of the Software
• We may delete your account and data after 30 days
• You may export your data before deletion
• No refunds will be provided for prepaid subscriptions
• Sections that should survive termination will remain in effect

14. Governing Law and Dispute Resolution

14.1 Governing Law

This EULA is governed by the laws of Italy, without regard to conflict of law principles.

14.2 Jurisdiction

You agree that any disputes arising from this EULA shall be resolved in the courts of Italy.

14.3 Dispute Resolution Process

Before filing any lawsuit, you agree to attempt to resolve disputes through:

2. Mediation: If negotiation fails, participate in good faith mediation
3. Arbitration or litigation: As a last resort

14.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS PART OF A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.

15. General Provisions

15.1 Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and us regarding the Software.

15.2 Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

Our failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer this EULA or your rights hereunder without our prior written consent. We may assign this EULA without restriction.

15.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including:

• Natural disasters
• War or terrorism
• Pandemics or epidemics
• Internet or telecommunications failures
• Government actions or regulations
• Third-party service outages

15.6 Survival

15.7 Amendments

We may modify this EULA at any time. Changes will be effective upon posting with an updated "Last Updated" date. Material changes will be communicated via email or in-app notification.

Your continued use of the Software after changes constitutes acceptance of the modified EULA.

15.8 Language

This EULA is written in English. Any translation is provided for convenience only. In case of conflict, the English version prevails.
